Terms of Service (Talents Trend AI)

“Account” means a registered user account for the Services.

“User” means an individual authorized to use the Services under a Customer Account.

“Platform” means the Talent Trends AI application, including modules such as signals, CRMs, matching, Kanban, outreach, analytics, and invoicing.

“Website” means the marketing website, including Blog, Knowledge Base, Login, and Contact pages.

“Content” means information, text, graphics, images, software, and materials.

“Customer Data” means data you or your Users upload, submit, import, connect, store, or process through the Services (including candidate records, CVs/resumes, company/contact data, jobs, outreach activity, analytics outputs derived from activity, and invoices).

“Subscription” means a paid plan granting access to the Services.

“Trial” means time-limited access to the Services under trial conditions.

“Fees” means subscription fees, seat fees, usage fees (including AI credits where applicable), integration fees, and any other charges agreed with the Customer.

The Services are intended for business use. You must be at least 18 years old to use the Services.

You are responsible for ensuring that your use of the Services complies with all applicable laws and professional obligations, including laws related to recruiting and employment practices, privacy, data protection, marketing, and anti-spam communications.

3.1 Account creation and accuracy

You must provide accurate and current information when creating an Account and keep it updated.

3.2 Credentials and responsibility

You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your Account. You must notify Talents Trend AI promptly if you suspect unauthorized access.

3.3 Roles and permissions

The Platform may include role-based access control. Customer administrators are solely responsible for:

• assigning permissions and roles,
• managing access for Users,
• ensuring Users only access Customer Data they are authorized to access.

The Services may include (depending on plan and configuration):

• market signals and trend insights,
• job ingestion from integrations, CSV import, or manual entry,
• Company CRM and Decision Maker discovery,
• Candidate CRM with manual entry, AI CV parsing, and bulk CSV import,
• explainable AI matching (job→candidate and candidate→job),
• Kanban pipeline tracking (stages, ownership, next steps, stage history, SLA/aging),
• outreach tools and integrations (email and calendar),
• analytics dashboards and AI recommendations,
• invoicing and operational reporting,
• Knowledge Base and Blog.

Talents Trend AI may modify, add, or remove features at its discretion, provided that Talents Trend AI will make reasonable efforts to avoid materially degrading the core paid Services for active Subscribers.

5.1 Trials

Trials may be offered at Talents Trend AI’s discretion and may include limitations (e.g., seats, candidate volume, active roles/jobs, AI credits, or feature access). Trial access may be modified or terminated at any time unless prohibited by law.

5.2 Subscriptions

Paid use requires a Subscription. Subscription scope, inclusions, and limits are defined by your order, quote, invoice, or written agreement.

5.3 Billing and payment

You agree to pay all Fees when due. Fees may be charged monthly or annually and may depend on seats, usage, integrations, or other agreed factors. You are responsible for all applicable taxes (VAT, sales tax, withholding tax), except taxes based on Talents Trend AI’s net income.

5.4 Non-payment

If payment is late or fails, Talents Trend AI may suspend or limit access to the Services until payment is received. Suspension does not relieve you of your obligation to pay Fees owed.

5.5 Fees are non-refundable

Except where required by applicable law or expressly stated in a written agreement signed by Talents Trend AI, all Fees are non-refundable, including prepaid Fees and unused portions of a Subscription term. If applicable law requires a refund, Talents Trend AI will provide a refund only to the extent and in the manner required by such law.

You agree not to use the Services to:

6.1 Illegal or harmful activity

• violate any law or regulation,
• harass, defame, threaten, discriminate, or exploit anyone,
• engage in fraud, deception, or impersonation.

6.2 Misuse of outreach tools (anti-spam compliance is your responsibility)

• send spam or unlawful marketing messages,
• violate consent, opt-out, or notice requirements,
• send deceptive, abusive, or unsolicited bulk communications in violation of applicable laws.

You are solely responsible for ensuring all outreach complies with applicable laws and platform policies of connected email/calendar providers.

6.3 Security and integrity violations

• probe, scan, test, or attempt to breach the Services,
• bypass access controls or authentication,
• introduce malware, scraping tools, bots, or harmful code,
• reverse engineer, decompile, or attempt to extract source code (except where prohibited by law).

6.4 Data misuse

• upload, process, or share data without legal rights or lawful basis,
• attempt to access another customer’s data,
• upload highly sensitive personal data unless explicitly agreed in writing with Talents Trend AI.

Talents Trend AI may monitor, restrict, suspend, or terminate use to protect the Services and enforce these Terms.

7.1 Customer Data ownership

As between you and Talents Trend AI, you retain ownership of Customer Data. You grant Talents Trend AI a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, and maintain the Services and as otherwise permitted by law and our Privacy Policy.

7.2 Your responsibility for lawful basis

You represent and warrant that you have all necessary rights, permissions, notices, and lawful bases to collect, use, upload, and process Customer Data, including candidate CVs/resumes and personal information.

7.3 Sensitive data restrictions

Unless expressly agreed in writing, you must not upload or process:

• government IDs, payment card numbers, bank credentials,
• medical/health data,
• other special category data under GDPR, unless strictly necessary and lawfully processed.

7.4 Privacy Policy

Our Privacy Policy forms part of these Terms and explains how Talents Trend AI handles personal data.

If you enable third-party integrations:

• you authorize the Services to access and process data needed to provide the integration functionality,
• integration availability depends on third-party systems, permissions, and API stability,
• third-party terms and privacy policies apply to their services.

Talents Trend AI is not responsible for third-party outages, changes, loss of access, or third-party actions.

The Services may provide AI-driven features (including CV parsing, matching, ranking, summaries, analytics recommendations).

9.1 No guaranteed accuracy

AI outputs may be incomplete, inaccurate, or biased depending on data quality and context. You must validate outputs before relying on them.

9.2 You remain responsible

You are solely responsible for:

• recruiting decisions,
• compliance with employment and anti-discrimination laws,
• ensuring AI outputs are used appropriately and lawfully.

9.3 Prohibited use

You may not use AI features to discriminate unlawfully, process data without rights, or generate deceptive communications.

10.1 Talents Trend AI ownership

Talents Trend AI owns and retains all rights, title, and interest in the Services, including software, workflows, designs, branding, and documentation (excluding Customer Data).

10.2 License to you

Talents Trend AI grants you a limited, non-exclusive, non-transferable, revocable license to use the Services during your Trial or Subscription term, solely for your internal business purposes and in accordance with these Terms.

10.3 Feedback

If you provide feedback or suggestions, you grant Talents Trend AI a perpetual, worldwide, royalty-free right to use them to improve the Services without compensation.

You agree to keep confidential any non-public information about the Services disclosed by Talents Trend AI (including product details, roadmaps, and pricing terms shared in sales or onboarding), and not to disclose it to third parties except as required by law.

12.1 Availability

The Services are provided on an “as available” basis. Interruptions may occur due to maintenance, third-party failures, or other reasons.

12.2 Changes

Talents Trend AI may update, modify, or discontinue features. Talents Trend AI may also impose reasonable limits (e.g., rate limits) to protect service integrity.

12.3 Support

Support availability and response times may vary depending on plan or agreement.

13.1 By you

You may stop using the Services at any time. Subscription cancellation terms are governed by your order or written agreement.

13.2 By Talents Trend AI

Talents Trend AI may suspend or terminate access immediately if:

• you violate these Terms,
• your use creates security, legal, or operational risk,
• payment is overdue,
• Talents Trend AI must comply with a legal request.

Talents Trend AI may (but is not required to) provide notice and an opportunity to cure, depending on circumstances.

13.3 Effect of termination

Upon termination:

• your license ends,
• access may be disabled,
• Talents Trend AI may delete or anonymize Customer Data according to retention policies and legal obligations.

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Talents Trend AI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Services will be uninterrupted, error-free, or meet your requirements.

Talents Trend AI does not warrant that signals, matching, AI insights, outreach, analytics, or recommendations will produce any specific hiring, sales, recruiting, or revenue outcome.

To the maximum extent permitted by applicable law:

15.1 No indirect damages

Talents Trend AI will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, business opportunities, business interruption, loss of data, or reputational harm, even if advised of the possibility.

15.2 Maximum liability cap

If the Services do not work (including material unavailability or material failure of core functionality), Talents Trend AI’s total cumulative liability for all claims arising out of or related to such failure will be strictly limited to an amount equal to one (1) paid monthly subscription fee actually paid by the Customer for the relevant Subscription.

15.3 General cap

Except as otherwise required by law, regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), Talents Trend AI’s total cumulative liability for all claims arising out of or related to the Services will not exceed one (1) paid monthly subscription fee actually paid by the Customer.

15.4 Non-excludable liability

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

You agree to indemnify, defend, and hold harmless Talents Trend AI, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• your use or misuse of the Services,
• your violation of these Terms,
• Customer Data (including claims that you lacked rights or lawful basis to process it),
• your outreach communications (including claims of spam or unlawful marketing),
• your recruiting, hiring, employment, or screening decisions,
• your violation of privacy, employment, discrimination, or other applicable laws.

These Terms are governed by the laws of Republic of Serbia, without regard to conflict of laws principles.

Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Commercial Court in Belgrade, unless otherwise required by applicable law.

Talents Trend AI may provide notices by:

• email to the address associated with your Account,
• in-Platform notices,
• posting updates on the Website.

Talents Trend AI may update these Terms from time to time. If changes are material, Talents Trend AI will take reasonable steps to notify you. Continued use of the Services after the updated effective date constitutes acceptance.
